Professional Experience

DIANE L. BECKER is the former Chief Legal Officer of Bugle Boy Industries, Inc., a $500 million international apparel company with 300 retail stores, where she served as a Senior Vice President and was on the company’s Board of Directors. She has also had the following titles and responsibilities: Chief Legal Officer; Senior Vice President Licensing; Senior Vice President Risk Management and Insurance; Senior Vice President Real Estate and Intellectual Property; and Corporate Secretary. She advised and represented management on all legal issues relating to Bugle Boy’s business including day-to-day legal matters, formulating and implementing strategic and operational plans, and preparation of transactional documentation. Diane has expertise in sophisticated banking and financial transactions, general and corporate business agreements, domestic and international licensing and distribution transactions, computer related transactions, intellectual property matters, copyright law matters, real estate and retail store leasing and construction, international trade, insurance and risk management, safety and security, and human resources. She negotiated and documented financing arrangements with lenders, ranging in amounts from $70 million to $160 million, and negotiated and documented the agreement for the sale of the Bugle Boy business and trademark, as well as the liquidation of its retail store inventory.

Diane was the Senior Vice President of Domestic and International Licensing, with full operational and legal responsibility for the company’s licensing efforts. She managed the company’s intellectual property assets, including its new licensee solicitation and license management activities and its 27 license agreements; and its trademark and copyright portfolio, comprising approximately 436 international and domestic trademarks and over 1000 domestic copyrights, with trademark registrations in more than 81 countries. Diane developed and implemented the company’s Trademark and Copyright Protection Program, its Trade Secret Protection Program, and its U.S. Customs Program, among other activities. She has written and spoken extensively on intellectual property law topics.

Ms. Becker has extensive experience in representing employers in all phases of litigation, mediation, arbitration, and administrative proceedings before the Department of Fair Employment and Housing, the Division of Labor Standards Enforcement, the California Employment Development Department, the U.S. Equal Opportunity Commission, the U.S. Department of Labor, Cal/OSHA and the Unemployment Appeals Board. Ms. Becker has drafted all forms of employment related documentation, including employee handbooks, employee policies and procedures manuals, and employment and human resources related agreements. She has spoken extensively on employment law topics.

Diane has extensive expertise in setting corporate policies and standards, operational training and procedures, to maximize legal compliance with applicable laws. She represents business clients through the Nordman firm’s new General Counsel Services Group, which helps clients avoid legal problems by conducting a "business legal-fitness" audit to identify legal risks and opportunities.

Community

Diane is a member of the Board of Directors of the American Red Cross of Ventura County.

Education

Diane earned her undergraduate and legal degrees from the University of California, Los Angeles, where she was a member of the Order of the Coif and an editor for the Law Review, publishing both a law review comment and article. She also was the second place winner for the UCLA Nathan Burkan Memorial Competition in Copyright Law. She has published and lectured extensively during her legal career.

Personal

Diane and her husband are avid boaters and skiers, and they are members of the Ventura County Yacht Club. Her son attends college in Portland, Oregon.
